CARBON2COBALT SHOPPING SWEEPSTAKES OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR WIN.
2. How to Enter. Beginning on May 1, 2024 at 9 AM Pacific Time through May 31, 2024 at 5 PM Pacific Time, post a photo of yourself or a friend, with their consent, wearing a Carbon2Cobalt product on your public Instagram profile and tag #Carbon2CobaltSweepstakes in the caption for a chance to win the Shopping Sweepstakes Prize, as defined below. You may enter into this sweepstakes (the “Sweepstakes”) only once per Instagram account. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Instagram, Inc. (“Instagram"). NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Sponsor may offer a similar sweepstakes from time to time. Each offer is separate. Entry into each sweepstakes is separate. The start/end time, how to enter and available prize for each sweepstakes will be listed in the offer for that sweepstakes on Sponsor’s website here. The other terms below will apply to each sweepstakes.
3. Eligibility. This Sweepstakes shall be open to residents of the United States that are 18 years of age and older as of May 1, 2024, except for employees of Carbon2Cobalt (“Sponsor”) and their affiliates, subsidiaries, and agencies (collectively “Promotion Parties”), and members of their immediate family. The person submitting the entry must be the authorized account holder of such Instagram account. The “authorized account holder” is the natural person assigned to the applicable Instagram account by Instagram. Void where prohibited. 
4. Drawing. A random drawing will be conducted on or about May 31, 2024 by the Sponsor to select the winner from among all eligible entries received. The winner shall win the Shopping Sweepstakes Prize gift card described in Section 7. Odds of winning depend on the number of entries received. The winner will be notified by direct message to the winner’s Instagram account. All income taxes resulting from acceptance of the Shopping Sweepstakes Prize are the responsibility of winner. By entering this Sweepstakes, entrant accepts and agrees (a) to these Official Rules and the decisions of the Sponsor, (b) that his or her entry conforms to any terms of use and platform guidelines, policies and content restrictions of Instagram (as applicable); and (c) its entry conforms to the guidelines and content restrictions herein. Decisions of the Sponsor are final and binding. Entries that do not comply with these Official Rules, as determined in Sponsor’s sole discretion, will be disqualified from the Sweepstakes. Acceptance of a prize also constitutes permission to the Promotion Parties to use winner’s name for marketing purposes without further compensation or right of approval, unless prohibited by law. BY SUBMITTING AN ENTRY TO THESE SWEEPSTAKES, YOU ACKNOWLEDGE THAT YOUR ENTRY (INCLUDING YOUR USERNAME AND PROFILE PICTURE) MAY BE POSTED ON INSTAGRAM AND/OR SPONSOR’S PROPRIETARY WEBSITE AND/OR SOCIAL PAGES, WHERE IT MAY BE VIEWED, SHARED (BY USERS OF SOCIAL MEDIA AND VARIOUS OTHER INTERNET-BASED SITES) AND COMMENTED ON BY THE SPONSOR AND THE GENERAL PUBLIC. All federal and state laws apply.
5. Entry Guidelines. To submit a valid entry into this Sweepstakes, the entry must:

not contain material that violates or infringes another's rights, including but not limited to privacy, publicity, copyright, trademark or other intellectual property rights;

not disparage or embarrass Sponsor, their owners and employees, or any other Promotion Parties;

not feature brand names or trademarks of brands other than the Sponsor;

not contain any materials relating to lotteries, gambling, tobacco, alcohol or drugs, pornography, adult-oriented content or any other sexually-explicit material;

not contain anything that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and

not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where the entry is created.

If the Sponsor determines that the content of the entrant’s entry does not comply with these official rules, the entry will not be eligible for any prize consideration and may be withdrawn without notice from the Sweepstakes at any time at the sole discretion of the Sponsor.

6. Limitation of Liability. By entering this Sweepstakes, entrants waive all right to, and hold the Promotion Parties and Instagram harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this Sweepstakes or the acceptance, use, or misuse of any prize. The above shall apply to entrants to the greatest extent allowed by applicable law. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Neither Promotion Parties nor Instagram will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant’s spam, junk e-mail, or other security settings or for entrant’s provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Sweepstakes; by any human error which may occur in the processing of the entries in this Sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the Sweepstakes, or announcement of the Shopping Sweepstakes Prize. If, in the Sponsor’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Sweepstakes, or if technical difficulties compromise the integrity of the Sweepstakes, Sponsor reserves the right to cancel or modify this Sweepstakes in a manner deemed appropriate in its sole discretion. In the event of termination, winners will be selected from among all eligible entries received as of date of termination.

7. Prize. The prize shall be one $250 gift card for use on the Carbon2Cobalt website (the “Shopping Sweepstakes Prize”). The total prize value is two hundred fifty dollars ($250). The winner may not substitute or transfer the Shopping Sweepstakes Prize. Sponsor reserves the right to substitute a prize of equal value. The prize will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the Shopping Sweepstakes Prize to an alternate winner by random drawing from among all remaining eligible entries.

8. Choice of Law; Arbitration. Entrant agrees that all matters arising out of or relating to this Sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of California, without giving effect to any of its conflict of laws provisions thereof. Except where prohibited by law, as a condition of participating in this Sweepstakes, entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or the prize awarded, shall be resolved individually, without resort to any form of class action; and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at a AAA regional office in or most closely located to Santa Barbara, California; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction.
8. Release. By participating in this Sweepstakes, entrants agree to release Instagram, Sponsor and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Sweepstakes and each of their respective parents, agents, affiliates, subsidiaries, advertising and promotion agencies, and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, in whole or in part, directly or indirectly, from participation in this Sweepstakes and/or acceptance, use or misuse of the prize.

10. List of Winners. A list of winners may be obtained by contacting the Sponsor after May 31, 2024. Except where prohibited by law, entry constitutes permission to use each entrant's name, hometown (city and state), voice, biographical information, likeness, photograph and any statements regarding this Sweepstakes in all media now known or hereafter discovered, for any purpose, including without limitation, in connection with, and to promote, market or advertise, the Sweepstakes, in whole or in part, without review, approval, credit or attribution, notification or payment from or to entrant or any person or entity, worldwide, in perpetuity, or on a winner's list, if applicable. Sweepstakes is subject to all applicable U. S. federal, state and local laws and regulations.
11. Sponsor. The Sponsor of this Sweepstakes is Carbon2Cobalt, with an address of 101 W. Anapamu, Floor 3, Santa Barbara CA 93101.
